Subscription Terms

These subscription terms and conditions (the "Subscription Terms") govern the subscription offered by Spectrum Unlimited, LLC (collectively, "Spectrum Unlimited" or "we" or "us"), which includes subscriptions for individual services (each, a "Subscription"). These Subscription Terms are between you and Spectrum Unlimited and govern your and our respective rights and obligations related to a Subscription. These Subscription Terms apply in addition to the Spectrum Unlimited Terms of Service at www.clientbirthday.com/terms-of-service, and the Spectrum Unlimited Privacy Policy at www.clientbirthday.com/privacy-policy, each of which are incorporated into these Subscription Terms by reference.

BY PURCHASING A SUBSCRIPTION, YOU AGREE TO BE BOUND BY THESE SUBSCRIPTION TERMS, THE SPECTRUM UNLIMITED TERMS OF SERVICE AND PRIVACY POLICY, AND ANY ADDITIONAL TERMS INCORPORATED HEREIN BY REFERENCE.

1. Subscription Program

The Subscription allows you to access certain services and a platform offered by Spectrum Unlimited on a recurring basis. A Spectrum Unlimited account ("Account") is required to purchase a Subscription. Your participation in any Subscription is personal to you, and you may not transfer, assign, or resell your Subscription or any of the benefits to any third party without our authorization, which we may grant or withhold in our sole discretion.

By signing up for a Subscription, you authorize us to automatically charge your card and fulfill your Subscription orders on a recurring basis. Your Subscription will automatically renew on a recurring basis and your payment method will be charged until you cancel the Subscription.

The price for a Subscription will be displayed on the landing page when registering for an Account. The total cost charged to your payment method for each Subscription will be the cost on the billing date for your Subscription (which is subject to change based on price fluctuations and certain promotional discounts, or sales that may be available from time to time), plus any applicable sales tax and fees.

We will notify you if the price increases before the next billing cycle is processed. If you do not want to continue your Subscription at the new price, you can cancel your Subscription as outlined below. You can view the current price and billing date(s) for the Subscription by logging into your Account and clicking on "Billing".

The fees for each Subscription will be charged to the payment method you selected at the time of signing up for your Subscription, or as may be modified by you from time to time. You agree to pay for the services applicable to your Subscription on the billing date using the selected payment method and you authorize Spectrum Unlimited, or a third-party payment processor, to charge the selected payment method for each Subscription. If we are unable to complete your Subscription payment with the authorized payment method, we will send you an email to the email address associated with your Account to inform you of the issue and to ask that you update your payment method. Upon a Subscription payment failure, the following grace periods will apply: (i) if your Subscription duration is less than or equal to four (4) months, the grace period will end two (2) days after the Subscription period end; (ii) if your Subscription duration is more than four (4) months, the grace period will end five (5) days after the Subscription period end. If scheduling is allowed under your Subscription, any scheduled emails will be suspended after the applicable grace period ends. If you do not update your payment method by the date specified in that notice, your Subscription and suspended emails will be canceled unless you sign up for a new Subscription. Upon successful payment of your Subscription, if scheduling is allowed, any suspended emails will be scheduled; if scheduling is not allowed, any suspended emails will be canceled. You can view the billing date for the Subscription by logging into your Account and clicking "Billing". To avoid being charged, cancel your Subscription before the billing date as outlined below.

Spectrum Unlimited may provide certain benefits as part of the Subscription, which may include, promotional pricing, discounts, or other offers. Any limitations or conditions will be disclosed at the time that the offer is presented. Spectrum Unlimited reserves the right to modify or discontinue benefits offered as part of any Subscription. If Spectrum Unlimited modifies or discontinues benefits offered as part of your Subscription, Spectrum Unlimited will send you an email notice to inform you of the change at the email address associated with your Account. If you continue to subscribe to the applicable Subscription, you will be deemed to have accepted those changes. If you do not accept the modification, you need to cancel your Subscription before the billing date to avoid being charged.

2. How to Cancel or Modify Your Subscription

If you disable subscription renewal, and scheduling is allowed under your Subscription, any scheduled emails will be suspended after the subscription period ends. If you re-enable subscription renewal, and scheduling is allowed, any suspended emails will be scheduled.

You may cancel your Subscription at least seven (7) days prior to the next billing date by logging into your Account and accessing the "Billing" page. To cancel, select your Subscription on the Subscription page and click "Cancel". Once you cancel, you will lose any promotional discounts that apply to your Subscription.

Cancellations take effect at the end of the current billing cycle. You will not receive a refund or credit for any remaining days in your subscription period.

3. Returns and Refunds

DUE TO THE NATURE OF OUR SERVICES ALL SALES ARE FINAL. THEREFORE, REFUNDS ARE NOT AVAILABLE. For Subscription and desktop software purchases, you may request a full refund within ninety (90) days of your initial purchase if you are not satisfied. To request a refund, you must contact us within the ninety (90)-day period. Refund requests made after ninety (90) days from the date of purchase will not be honored. After the initial ninety (90)-day period, all sales are final and no refunds will be available.

You must notify Us of any billing disputes within thirty (30) days of a dispute to the charges on your Account. Failure to do so will result in the charge being deemed accepted by you. Each dispute will be reviewed by Us on a case-by-case basis and resolved in our sole discretion.

4. Termination

We may terminate your Subscription at our discretion without notice. We will not give any refund for termination related to conduct that we determine, in our discretion, violates these Subscription Terms, the Spectrum Unlimited Terms of Service or Privacy policy, or any applicable law, or involves fraud or misuse of any Subscription. Our failure to insist upon or enforce your strict compliance with these Subscription Terms or the Spectrum Unlimited Terms of Service will not constitute a waiver of any of our rights.

5. Modification

We may modify any of these Subscription Terms, at any time. For changes to these Subscription Terms that Spectrum Unlimited considers to be material, Spectrum Unlimited will send you an email at the email address associated with your Account. If you continue to participate in any Subscription by maintaining a Subscription, logging onto your Account or in any other way after these Subscription Terms have been changed, you will be deemed to have read, understood and unconditionally consented to and agreed to such changes. IF YOU DO NOT AGREE TO ANY CHANGES, YOU MUST CANCEL YOUR SUBSCRIPTION(S).

Each payment processed under any Subscription will be subject to the then current version of these Subscription Terms. The most current version of these Subscription Terms will be available on the Website and will supersede all previous versions of these Subscription Terms.
